出口管制和制裁合规准则

Contractual Partner shall not sell, export or re-export, directly or indirectly, to the Russian Federation or Belarus or for use in the Russian Federation or Belarus any goods supplied under or in connection with the Agreement(s) that fall under the scope of Council Regulation (EU) No 833/2014 and Council Regulation (EU) No 765/2006 (each as amended from time to time) (Critical Goods).

合同伙伴不得直接或间接向俄罗斯联邦或白俄罗斯出售、出口或再出口，或用于俄罗斯联邦或白俄罗斯的任何协议项下或与协议有关的货物，这些货物属于理事会条例（欧盟）第833/2014号和理事会条例（欧盟）第765/2006号（均不时修订）的范围（关键货物)。

Contractual Partner shall not use or allow the use of any intellectual property rights, trade secrets or material or other information protected by intellectual property rights or protected as trade secret in connection with common high priority items as listed in Council Regulation (EU) No 833/2014 that are intended for sale, supply, transfer or export, directly or indirectly, to Russia or for use in Russia.

合同伙伴不得将任何知识产权、商业秘密或受知识产权保护或作为商业秘密保护的与理事会条例（欧盟）第833/2014号所列共同高优先级项目有关的材料或其他信息，用于或允许用于直接或间接向俄罗斯销售、供应、转让或出口，或在俄罗斯使用。

Contractual Partner must ensure that the purpose of section 1.1 and 1.2 is not frustrated by any Third Parties further down the commercial chain, including by possible resellers. This includes implementing an obligation minimum as strict as this Guideline into their relevant contracts with Third Parties.

合同伙伴必须确保第1.1节和第1.2节的目的不会受到商业链下游任何第三方（包括可能的转售商）的阻挠。这包括在与第三方的相关合同中实施至少与本准则同样严格的义务。

In addition, Contractual Partner shall set up and maintain an adequate monitoring mechanism to detect conduct by any Third Parties further down the commercial chain, including by possible resellers, that would frustrate the purpose of section 1.1 and 1.2.

此外, 合同伙伴应建立并维持适当的监控机制, 以监测商业链下游任何第三方 (包括可能的转售商) 的行为, 这些行为会阻挠第1.1节和第1.2节的目的。

Any violation of section 1.1 - 1.4 shall constitute a material breach of this Guideline, and B. Braun shall be entitled to seek appropriate remedies, including, but not limited to: (i) termination of all cooperation and Agreement(s); and (ii) a penalty of at least 30% of the total value of Agreement(s) or price of the Products exported, whichever is higher.

违反第1.1 - 1.4节的任何行为均构成对本准则的实质性违反, 贝朗有权寻求适当的补救措施, 包括但不限于: (i）终止一切合作和协议; 和 (ii) 至少为协议总价或出口产品价格的30%的罚款, 以较高者为准。

Contractual Partner shall immediately inform B. Braun about any problems in applying section 1.1 - 1.4, including any relevant activities by Third Parties that could frustrate the purpose of section 1.1 and 1.2. Contractual Partner shall make available to B. Braun information concerning compliance with the obligations under section 1.1 - 1.4 within two weeks of the simple request of such information.

合同伙伴应立即通知B. Braun在适用第1.1 - 1.4节时遇到的任何问题，包括第三方可能阻挠第1.1和1.2 节的的任何相关活动。合同伙伴应在收到此类信息请求后两周内, 向贝朗提供有关遵守第1.1 - 1.4节规定义务的信息。

At the request of B. Braun, Contractual Partner shall be obliged to provide all necessary documents and evidence in order to be able to verify the final whereabouts of Goods. B. Braun is entitled to verify the whereabouts of the Critical Goods by means of on-site inspections or to commission Third Parties to carry out on-site inspections.

应贝朗的要求, 合同伙伴有义务提供所有必要的文件和证据, 以便能够验证货物的最终去向。贝朗有权通过现场检查或委托第三方进行现场检查的方式, 验证关键货物的去向。
